The mission of the Legal Department (LEG) is to sustain AIIB's mandate-based multilateral development financing by protecting the Bank's international legal status, helping the Bank make good decisions, and safeguarding the Bank against legal and other risks through authoritative, actionable, and impartial legal advice and services. LEG provides advice to the Bank's management and governing bodies on all legal aspects of the Bank's investment, financial, institutional, and administrative activities. The Counsel / Senior Counsel - Institutional and Administrative will provide legal advice and services to support AIIB's operations and corporate governance frameworks, with a view to protecting AIIB's interests and ensuring compliance with its mandate, internal legal framework, policies, and procedures. In particular, the Counsel / Senior Counsel - Institutional and Administrative will interpret the internal legal framework, rules, institutional documents, and policies, and ensure that legal risks in institutional, administrative, and corporate governance areas are appropriately managed. They will also contribute to the review and drafting of internal legal documents and support initiatives that enhance AIIB's internal legal framework. The position will support Chief Counsel, Institutional and Administrative Unit, in providing intellectual leadership and leading the functions, teams, and practice groups in the unit, as well as providing mentorship and guidance to junior lawyers in the department. Responsibilities: Lead the provision of legal and policy advice and support to the Office of the President and the Corporate Secretary Vice Presidency on outreach to Member governments, membership, and shareholder relations, including the admission of new Members; preparations for and holding the meetings of the Board of Governors and the Board of Directors; governance effectiveness; and other related matters. Advise on the interpretation of AIIB's constituent instruments, internal legal framework, and other legal instruments adopted or issued by AIIB's governing organs and bodies. Develop, draft, and lead negotiations of legal instruments with Member governments on AIIB's privileges, immunities, exemptions, and facilities as well as host support arrangements, including in relation to AIIB's headquarters as well as offices outside of AIIB's headquarters. Lead in advising the Administration Vice Presidency on institutional and administrative matters, including those in relation to human resources management (such as the formulation of employment, compensation and benefits, staff grievance mechanisms, and the application of those policies to specific cases), corporate procurement, facilities and administrative services, records and information management, personal data privacy, security and emergency management, as well as emerging IT governance issues such as social media, AI, and data governance. Support LEG in advising, supporting, and continuing to develop the staff grievance mechanisms of the Bank, assist in the coordination of the various functions overseeing staff grievances and lead in the defence of the Bank against both internal and external litigation. Lead in advising the ethics, integrity, and ombuds functions. Lead in advising the Policy and Strategy Vice Presidency, Operational Partnerships Department, and Multilateral Cooperation Center for Development Finance (MCDF) Secretariat on external cooperation partnership initiatives and MCDF governance issues, respectively, and other related issues. Take a principal role in the development and provision of legal advice on AIIB's internal legal framework to align the framework with Bank-wide governance objectives, particularly in relation to the functions the Institutional and Administrative advises. Draft and revise legal advice, memoranda, legal opinions, guidance, and internal correspondence to address institutional, corporate, and administrative matters. Pilot the promotion of innovative approaches and seek improvement of work processes and products. Coordinate and collaborate in the legal field with other multilateral development banks and development partners to advance AIIB's purpose and objectives in assigned areas. Contribute to institutional, departmental, or unit initiatives, including knowledge management and publications. Perform other assignments at the General Counsel's request to further the effective performance of the functions of the department. Requirements: Minimum 5-8 years (for Counsel) and 8-10 years (for Senior Counsel) of relevant professional experience, with the most recent 3-5 years in a lead capacity (for Senior Counsel), preferably with wide-ranging experience in the relevant aspects of legal work in international organizations. Advanced law degree, with the qualification to practice law in at least one jurisdiction. Proven track record of leading, managing, or mentoring teams is highly desirable. Strong analytical skills and excellent legal drafting and legal advisory abilities. Effective communication skills, including speaking persuasively and presenting ideas clearly. Strong intellectual leadership and interpersonal skills. Ability to innovate while mitigating legal risk. Superior level of resourcefulness and the ability to work autonomously. Demonstrated ability to work harmoniously as a team player. Excellent command of English, including for drafting and negotiating legal documents.
