Requirements
Bachelor's degree in Law. Qualified to practice law in the UK and/or the US. 12 years experience post qualification in a top-tier international law firm, with solid experience in both M&A and Capital Markets transactions. Strong drafting and negotiating skills. Strong presentation skills. Excellent command of English. Excellent communication skills (written, verbal and listening). Able to build partnerships and work well in teams. Can identify, recommend and implement solutions for problems. Capable of making timely decisions and anticipating consequences. Ensure deliverables are always of a high quality. Able to work under pressure, with attention to detail and minimal supervision.
Description
PurposeWork with the Group Chief Legal Officer in handling all legal matters for the investment bank's business lines in the GCC and Frontier Markets.ResponsibilitiesAssist in serving the transactional and operational needs of all business lines, specifically the Investment Banking, Private Equity, Brokerage and Asset Management teams.Review, draft and/or negotiate documentation for Equity and Debt Capital Markets transactions (including IPOs and private placements), such as engagement letters, underwriting agreements, share purchase agreements, offering circulars, comfort letters, legal opinions.Review, draft and/or negotiate general corporate and specific banking contracts and documents including but not limited to: sale and purchase agreements, confidentiality agreements, mandate letters, escrow agreements, account opening forms, bank account, and custody terms and conditions.Manage external counsel, as needed.Establish and maintain a legal database of group entities and a precedent database.Research legal issues and evaluate different risk factors.Ensure compliance in all applicable AML/CTF rules and regulations as required in the conduct of the role.Ensure timely completion of all relevant AML/CTF training provided by the Group.Ensure response to AML, CTF & sanctions inquiries in a timely manner.Job RequirementsBachelor's degree in Law.Qualified to practice law in the UK and/or the US.12 years experience post qualification in a top-tier international law firm, with solid experience in both M&A and Capital Markets transactions.Strong drafting and negotiating skills.Strong presentation skills.Excellent command of English.Excellent communication skills (written, verbal and listening).Able to build partnerships and work well in teams.Can identify, recommend and implement solutions for problems.
